A professional advisory relationship is established only when you have signed an engagement letter with Quantum Ledger CPA Professional Corporation. Until that point, no client relationship exists and no professional duties are owed.

4. Professional Services Engagement

The provision of accounting, tax, bookkeeping, payroll, and advisory services is governed by a separate written engagement letter, which sets out the specific scope, fees, timelines, and professional obligations applicable to your file. In the event of any conflict between these Terms and an engagement letter, the engagement letter prevails.

Our professional conduct is regulated by CPA Ontario. We comply with the CPA Canada Code of Professional Conduct and applicable provincial standards.

5. Intellectual Property

All content on this Site — including text, graphics, logos, and images — is the property of Quantum Ledger CPA Professional Corporation or its licensors and is protected by Canadian copyright law. You may not reproduce, distribute, or create derivative works without our prior written consent.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Quantum Ledger CPA Professional Corporation and its principal shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or from any information published on it. Our total liability for any claim related to the Site (not to professional service engagements) is limited to CAD $100.

Liability for professional accounting and advisory services is governed by your engagement letter and applicable CPA professional standards.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario.
